Prerequisites
A general knowledge of the fundamentals of civil law and an adequate knowledge of corporate law are both required
Learning outcomes
In-depth knowledge of the main problematic profiles related to the Italian company law (in particular of both the s.p.a. and s.r.l). At the end of the course the student is expected to know the rules governing the financing of the company, the operations on their own shares, the operations on the capital and the governance of both the s.p.a and the s.r.l.

- Company financing
- Risk capital and debt
- "Equity" in the s.p.a. e s.r.l.
- Bonds and debt securities
- Financial instruments of participation
- Share categories and particular rights of shareholders in the s.r.l.
- Operations on own shares
- Capital transactions
- Governance of the s.p.a. e s.r.l.
- The system of invalidity of the resolutions of the Shareholders' Meeting and Board of Directors in the s.p.a.
and s.r.l.
- Listed companies
Teaching methods
Lectures and discussion in the classroom. The Professor encourages also the students' participation through questions according to a Socratic method of teaching.

Assessment methods
Oral examinations. The final grade is expressed in thirtieths (18/30 is the lowest passing grade). The assessment will also take into account the ability to communicate with a technical-legal language
